Carlsberg India has filed updated draft red herring prospectus papers with India’s market regulator Sebi for an IPO made up entirely of an offer for sale (OFS), according to multiple reports. The update comes via a DRHP dated October 27.

Across outlets, the focus is on the structure and potential timing rather than new operational details. The proposed offering comprises up to 8.64 crore equity shares, all to be sold by the promoter South Asian Breweries Pvt Ltd, with no fresh issue component. As a result, Carlsberg India is not expected to receive any proceeds from the share sale, with proceeds going to the selling shareholder. The company has not yet announced an IPO price band, subscription dates, or the total amount it aims to raise.

One report adds broader context on Carlsberg India’s prior confidential filing and regulator clearance that enabled the public filing, as well as the fact that lead managers have been appointed. It also frames the move alongside other multinational-company IPOs in India that have used OFS structures to monetise stakes in local subsidiaries.
