Reliance Industries says its UK step-down subsidiary, Hamleys (Franchising) Ltd, is in a voluntary strike-off process that could lead to its dissolution by late December 2026. The UK Registrar of Companies published a gazette notice indicating the company could be removed from the register unless an objection or cause is raised within a set period.

In a regulatory filing, Reliance says it received notification from the Registrar on Oct 28. Under UK procedures for voluntary strike-off, the company is not dissolved earlier than two months after Oct 27, 2026, giving creditors and other interested parties time to respond. Reliance also reports that Hamleys (Franchising) Ltd recorded turnover of Rs 56.08 crore in calendar year 2025 and that its net worth was nil as of Dec 31, 2025.

Some outlets also provide background on Reliance’s acquisition path. They note that Reliance Brands bought Hamleys Global Holdings Ltd from Hong Kong-based C Banner International Holdings via an all-cash deal, completed in 2019, though they do not add new details about why the strike-off application is being pursued.
