Zee Entertainment Enterprises’ shareholders approve the issuance of convertible warrants to an entity in the promoter group, enabling promoters to increase their stake in the company. Multiple reports say the approval gives the company the required shareholder majority to proceed with the warrants issuance, with the total fundraise reported to be up to ₹3,143.52 crore. Following the transaction, the promoter group’s stake is expected to rise to 23.79%, according to the Business Line account.

Times of India reports that the resolution secures broad shareholder approval, though institutional investors largely oppose the warrants proposal. Non-institutional investors are described as providing stronger support. The approval also includes authorization for an employee stock option plan (ESOP) for eligible employees.

The reports further note that the warrants proposal reverses an earlier instance where shareholders had rejected a similar funding proposal. With the approvals now in place, Zee proceeds toward executing the warrant issuance subject to the company’s regulatory and transaction processes.
