Samvardhana Motherson International’s board has approved a proposed acquisition in which a wholly owned subsidiary will buy a controlling stake in Rotary Connectors Pvt Ltd. Samvardhana Motherson Adsys Tech Ltd will acquire 50.1% equity in Rotary Connectors for an enterprise value of ₹500.4 crore. The transaction is planned to be completed entirely in cash and is subject to regulatory conditions.
After the deal closes, Rotary Connectors will become an indirect subsidiary of Samvardhana Motherson International. Rotary’s existing promoters are expected to retain 49.9% ownership, continuing their involvement in the company’s operations and expansion plans. The timeline for completion is expected by the end of FY27, depending on fulfilment of applicable requirements.
Both outlets frame the acquisition as part of Samvardhana Motherson’s strategy to diversify into aerospace and defence. The Free Press Journal additionally highlights that Rotary Connectors makes military-grade circular connectors and interconnection solutions, including for aircraft and defence platforms, and says the move aims to strengthen capabilities in electrical wiring interconnect systems. Business Line focuses on the same diversification and scaling objective for the aerospace and defence vertical.
