Barry Diller’s People Inc., formerly IAC, is preparing a non-binding proposal to acquire the shares of MGM Resorts International that it does not already own and take the casino company private. Multiple outlets report that People Inc. currently holds about 26.1% of MGM—roughly 66.8 million shares—and that its bid would cover the remaining stake not owned by the company.

The proposed price is $48.30 per share in cash, which several reports describe as valuing MGM at about $18 billion to $18.8 billion, including debt. Financial media also cite that the offer represents a premium to MGM’s recent trading averages, including its 30-day and 90-day volume-weighted average prices.

The companies expect to fund the transaction using cash at People and MGM, along with additional debt and equity contributions. People Inc. says it would own just over 50% of MGM equity, with other investors holding minority interests, and that it would control the business.

Diller says MGM’s casino properties and business are not easily replicated or disrupted, including by AI. The announcement follows other reported takeover activity in the casino sector, including a separate bid that has been linked to Tilman Fertitta for Caesars Entertainment.
