Trump Media & Technology Group, TAE Technologies Inc. and Texas Ventures Acquisition III say they are no longer pursuing a planned spinoff of certain media assets, including Truth Social. The companies made the decision public in a joint statement, ending efforts to separate parts of their media business through a corporate restructuring.
While the spinoff plan is abandoned, the parties say they remain focused on completing their announced merger. Bloomberg and The Next Web report that the three companies continue to work toward closing their roughly US$6 billion deal in the fourth quarter of 2026. The change affects only the previously discussed spinoff; it does not alter the status of the overall merger agreement as described by the outlets.
Channel NewsAsia also reports that Trump Media and TAE will not proceed with a Truth Social spinoff. Across the coverage, the common point is the companies’ decision to stop pursuing the media-asset spinout while continuing to pursue the larger fusion-related merger timeline.
