The department concludes the transaction is “not likely to result in harm to competition or American consumers.” DOJ officials say the agency’s assessment also considers the competitive impact of the companies’ combined offerings, and the statement indicates the merger would increase competition and produce benefits for consumers and workers.
The DOJ’s position comes after its investigation and internal review of the proposed multiple-transaction structure described in connection with Warner Bros. Discovery’s involvement. While the department’s statement focuses on the lack of anticipated competitive harm, it also frames the deal as potentially positive in terms of market outcomes. Based on the DOJ’s findings, the agency does not plan to pursue antitrust action to block the merger.
