Tesco says it is migrating about 40,000 server workloads away from VMware, citing what it describes as “abusive conduct” by Broadcom. The dispute stems from Broadcom’s acquisition of VMware in late 2023, after which Tesco alleges changes to pricing and support terms that it claims breach the original deal. Tesco’s court filings state that Broadcom increased VMware prices by roughly 175% in the UK. The company also accuses Broadcom of blocking Tesco from buying support for perpetually licensed VMware products unless Tesco purchased additional subscription-based licenses for the same software. Tesco says Broadcom stopped supporting its VMware products in January and that Tesco has since paid for third-party support.

Alongside the migration, Tesco sues Broadcom in the UK High Court for more than GBP 100 million, alleging breach of contract and seeking damages. Reported claims in the filings include demands for substantial costs tied to switching technologies, operational and commercial risks from the required migration timeline, and additional expenses caused by incompatibilities with other tools used by Tesco. Sources also report that Tesco aims to complete the move off VMware by the end of 2027 at the earliest.
