Existing investors in Groww’s parent, Billionbrains Garage Ventures, are planning a secondary equity sale worth up to Rs 4,750 crore through a block deal. The investors include Peak XV Partners, Sequoia Capital, Ribbit Capital and YC Holdings. A term sheet cited by one outlet says the sellers are likely to offload up to 26.84 crore shares. The floor price is set at Rs 177 per share, which is reported as an 8.5% discount to the prevailing BSE market price of Rs 193.70 at the time of reporting. The sale is expected to be conducted via vendor sale(s) executed on exchange trading platforms, such as screen-based block trades or large institutional placements. One report also notes that the company’s shares fell on the day of reporting. Among the sellers, Peak XV Partners Investments VI-1 is described as the largest shareholder, with more than 105 crore shares (16.88% stake). YC Holdings II, LLC is reported with over 63.24 crore shares (10.08%), while Ribbit Capital and Sequoia Capital each hold smaller stakes. Groww is a Bengaluru-based SEBI-registered discount broker established in 2016.
