The Securities and Exchange Board of India (SEBI) extends its temporary relaxation on IPO issue-size revisions to March 31, 2027. The move allows eligible companies to change the “fresh issue” component of their initial public offerings without filing fresh draft offer documents, subject to regulatory conditions.

Under the relaxation, issuers can increase or reduce the size of the fresh issue by up to 50%. Earlier rules required fresh draft documents if the proposed change exceeded 20%. SEBI introduced the temporary relief earlier in April, when geopolitical tensions and ensuing market uncertainty affected investor sentiment and fundraising plans.

While the extension gives companies more time to adjust capital-raising strategies amid volatility, it is limited to the fresh issue portion rather than allowing unrestricted changes to the overall offering or its core purpose. Sources note that companies must meet disclosure and compliance requirements, including explaining the rationale for revisions and updating the draft red herring prospectus and other offer materials through addenda.
